‘App’ refers to closr application.

‘closr’ refers to CLOSR APP LTD, a company registered in England and Wales under company number 16136329, with its registered office at 18 Burrell Avenue, Lancing, West Sussex, BN15 8QB.

‘Free User’ refers to any individual who has registered for a closr account but has not subscribed to the Membership service. Free Users can access limited features of the closr platform, such as but not limited to: discovering local businesses and signing up for loyalty programs, without incurring any subscription fees.

‘Membership’ refers to a subscription-based service provided by closr that grants registered users access to exclusive benefits, offers, and deals made available by participating businesses. Membership is subject to payment of applicable fees and adherence to these Terms and Conditions.

‘Subscribed Member’ refers to any individual who has registered for a closr account and has an active, paid subscription to the Membership service. Subscribed Members enjoy additional privileges, including access to exclusive deals, offers, and benefits provided through the Membership program, subject to payment of applicable fees and compliance with these Terms and Conditions.

‘Terms’ refers to the Terms and Conditions outlined within this document.

‘We/Our/Us’ refers to closr.

‘You’ refers to Free User and/or Subscribed Member.

2. Acceptance of Terms:

By accessing or using the closr app, you agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and closr. If you do not agree to these Terms, you must not use the App or any of its associated services.

The App is intended for use by individuals who are at least 16 years of age. By using the App, you represent and warrant that you meet this requirement.

Your use of the App is also subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you acknowledge that you have read and understood our Privacy Policy.

We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting on the App, and your continued use of the App after such changes constitutes your acceptance of the revised Terms. 3. Services Provided:

closr provides a mobile application designed to strengthen local communities by connecting users with independent businesses through exclusive deals and rewards. Our services include:

- Digital Loyalty Cards: Users can access and utilise digital loyalty cards from participating local businesses to earn rewards and discounts.

- Geo-Location Mapping: The app features geo-location services, allowing users to discover and navigate to nearby participating businesses easily.

- Exclusive Offers: closr+ subscribers receive access to exclusive deals and promotions from local businesses.

- Charity Support: We donate 5% of closr+ subscription profits to local charities selected by our users through monthly surveys or polls.

These services aim to support local businesses, provide value to users through savings and rewards, and contribute positively to local charities, thereby fostering a thriving community ecosystem.

4. User Accounts and Membership:

4.1 Account Registration

To access certain features of the closr app, including but not limited to signing up for loyalty programs or subscribing to Membership services, you must create a user account ("Account"). When registering, you agree to:

Provide accurate, current, and complete information as prompted during the registration process.
Maintain and promptly update your account information to ensure it remains accurate, current, and complete.
Keep your account credentials confidential and secure.

You are responsible for all activities that occur under your account. closr is not liable for any unauthorized access to or use of your account. If you suspect unauthorized access, you must notify us immediately at support@closr.deals

4.2 Eligibility

By creating an account, you confirm that:

You are at least 16 years of age.
You have the legal capacity to enter into these Terms and comply with them.
Your use of the App does not violate any applicable laws or regulations.

closr reserves the right to suspend or terminate your account if we reasonably believe you have violated these Terms or are engaged in unauthorized or unlawful activities.

4.3 Account Types

There are two types of user accounts:

Free User Account: Provides access to basic features, such as discovering local businesses and signing up for loyalty programs. More features may be released in time.
Subscribed Membership Account: Grants access to exclusive benefits, offers, and deals as part of our paid Membership service.

4.4 Membership Subscriptions

If you choose to upgrade to a Subscribed Membership Account, you agree to the following:

Fees: You will pay all applicable subscription fees as outlined in the App. Fees are non-refundable unless expressly stated otherwise in these Terms.
Billing: Subscriptions are billed on a monthly basis and will automatically renew unless canceled before the next billing cycle.
Payment Methods: You authorise closr or its payment processor to charge your chosen payment method for subscription fees and any applicable taxes.

4.5 Cancellation and Refunds

You may cancel your subscription at any time through the ‘My Account’ settings in the App or by visiting dedicated app store. Cancellations will take effect at the end of the current billing cycle, and you will retain access to Membership benefits until that time.

Refunds are only issued in cases where required by law or at the sole discretion of closr.

4.6 Account Termination

You may delete your account at any time by contacting us at support@closr.deals. Please note that deleting your account will result in the loss of access to all features, including Membership benefits.

closr reserves the right to terminate your account if you breach these Terms, provide false information during registration, or engage in prohibited activities.

4.7 Prohibited Use of Accounts

You agree not to:

Create multiple accounts for fraudulent or abusive purposes.
Share your account credentials with others or allow unauthorised access to your account.
Use the App in a way that violates any applicable laws or infringes on the rights of others.

4.8 Data Usage and Privacy

By creating an account, you consent to closr collecting, using, and storing your personal information in accordance with our Privacy Policy. You acknowledge that certain account information may be shared with participating businesses to facilitate loyalty programs and Membership benefits.

5. Use of the App

5.1 License Grant

closr grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes, subject to these Terms.

5.2 Acceptable Use

You agree to use the App in accordance with all applicable laws and regulations. You further agree not to:

Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party's use of the App.
Attempt to gain unauthorised access to any part of the App, other user accounts, or any systems or networks connected to the App.
Use any robot, spider, or other automatic device, process, or means to access the App for any purpose.
Introduce any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.

6 . Loyalty Programs and Exclusive Deals

6.1 Participation

Users may participate in digital loyalty programs offered by participating businesses through the App. Subscribed Members have access to additional exclusive deals and offers.

6.2 Limitations

All loyalty programs and exclusive deals are subject to the terms and conditions set by the participating businesses. Offers may not be combined with other promotions unless explicitly stated.

6.3 Changes to Offers

Participating businesses reserve the right to modify or withdraw their loyalty programs and exclusive deals at any time without prior notice. closr is not responsible for any such modifications or withdrawals.

7. Intellectual Property Rights

All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of closr or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as follows:

Your device may temporarily store copies of materials incidentally as part of your use of the App.
You may print or download one copy of a reasonable number of pages of the App for your personal, non-commercial use and not for further reproduction, publication, or distribution.

You must not:

Modify copies of any materials from the App.
Use any illustrations, photographs, video, audio, or graphics separately from the accompanying text.
Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the App.

The closr name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of closr or its affiliates or licensors. You must not use such marks without the prior written permission of closr. All other names, logos, product and service names, designs, and slogans on the App are the trademarks of their respective owners.

8. User-Generated Content

8.1 Content Submission

If the App allows you to submit, upload, or share content such as reviews, comments, or other materials ("User Content"), you retain ownership of the intellectual property rights to the content you create.

8.2 License Grant

By submitting User Content, you grant closr a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating, promoting, and improving the App.

8.3 Content Restrictions

You agree not to submit User Content that:

Violates any applicable law or regulation.
Infringes on the intellectual property or privacy rights of others.
Contains defamatory, obscene, or offensive material.
Promotes illegal activities or harm to others.

closr reserves the right to remove or refuse to post any User Content at its sole discretion.

9. Disclaimers and Limitation of Liability

9.1 No Warranties

closr provides the App on an "as-is" and "as-available" basis. We make no guarantees or warranties regarding the accuracy, reliability, or availability of the App or its services.

9.2 Limitation of Liability

To the fullest extent permitted by law, closr and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.

9.3 Exclusions

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

9.4 Challenge 25 Policy

It is the responsibility of each business listed on closr to perform due diligence checks of 18+ products such as tobacco, vapes, and alcohol to underage users. All locations are made aware to check ID at point of sale despite the user potentially having a closr+ membership abiding by UK laws. Challenge 25.

10. Indemnification

You agree to indemnify and hold closr, its affiliates, officers, employees, and agents harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms.
Your use of the App, including any User Content you provide.
Your violation of any applicable law or the rights of a third party.

11. Termination

closr may suspend or terminate your access to the App, with or without notice, if you violate these Terms or if we are required to do so by law.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must stop using the App. If your account is terminated, you will lose access to all Membership benefits and any saved loyalty cards or offers.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising out of or relating to them will be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from or related to these Terms or the use of the App will be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Business Verification and Offer Accuracy

13.1 Business Onboarding Due Diligence

Before any business is listed on the Closr App, we conduct a thorough onboarding process, which includes direct communication with the business and confirmation of their agreement to honour the offers and discounts they choose to promote via the App.

13.2 Offer Commitment

Every participating business listed on the Closr App has explicitly agreed to provide the deals and discounts displayed in their profile. Businesses that do not agree to these terms are not added to the App.

13.3 Not Responsible for Individual Breaches

While Closr takes all reasonable steps to ensure the accuracy of listed offers, we are not responsible for individual businesses that fail to honour their commitments. In such cases, the responsibility lies solely with the business.

13.4 Reporting and Enforcement

If a business fails to honour a listed deal, we encourage users to report the issue to support@closr.deals. We investigate all complaints, and if a breach is confirmed, the business may be removed from the platform and required to compensate for damages in accordance with our Business Terms.

13.5 No False Advertising Liability

Closr is not liable for false advertising claims arising from a business’s failure to honour an offer. All offers are presented in good faith based on confirmed agreements with participating businesses.

14. Changes to the Terms

closr reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on the App or the closr website.

You are responsible for reviewing these Terms periodically to stay informed of updates. Continued use of the App following changes constitutes your acceptance of the revised Terms.
